Release of Liability

PHOENIX SPORTS, INC.

ACTIVITIES PARTICIPATION, MEDICAL CONSENT, AND LIABILITY RELEASE AGREEMENT ("AGREEMENT")

In consideration of being allowed to participate in any training, events, camps, and activities with Phoenix Sports, Inc. ("Activities"), I, on behalf of myself and my participating child (ages 18 months to under 18 years), acknowledge, understand, and willingly agree to the following:

1. SCOPE OF ACTIVITIES & ASSUMPTION OF RISK

I understand and acknowledge that participation in the Activities can be inherently dangerous, and it is impossible to ensure the safety of all participants. Phoenix Sports, Inc. provides a wide variety of programming. These Activities include, but are not limited to: soccer, beach soccer, beach football, baseball, basketball, sensory and movement classes, sports fitness, no-school day camps, summer camps, and any other sports or activities added in the future.

These sports and activities demand cardiovascular fitness, coordination, and agility. While playing, accidents can happen. Some of these accidents may be minor, such as collisions with other players, collisions with the ground, and being struck by a ball. Other accidents may be more significant. Injuries may include minor injuries like scrapes, bruises, strains, blisters, and sprains; more serious injuries like broken bones, concussions, muscle tears, and ligament tears; and catastrophic injuries like heat stroke, cardiac arrest, and death.

To reduce the risk of injury, all participants are expected to be physically fit before Phoenix Sports, Inc. begins and must adhere to the rules of play, thus creating a safe playing environment. Despite such risks, I willingly agree to have my child participate in the Activities. If I observe any unusual significant hazard during my presence or participation, I will remove my child from participation and notify Phoenix Sports, Inc. immediately.

2. MEDICAL FITNESS & EMERGENCY CONSENT

I certify that my child is physically and mentally fit to participate in the Activities and has not been advised by a qualified medical professional not to participate. I certify that there are no health-related reasons or problems which preclude my child's participation, and I have disclosed to Phoenix Sports, Inc. any underlying medical conditions.

I hereby consent to my child receiving emergency medical care prescribed by a duly licensed Health Care Provider, Dentist, or EMS. This care may be given under whatever conditions are necessary to preserve the life, limb, or well-being of my child. I agree that I will not hold the Releasees (defined below) responsible for any claims resulting from any medical treatment my child may receive. I certify that my child currently has medical/health insurance to cover any injuries sustained during participation, and I agree to be financially responsible for all costs associated with such emergency treatment and transportation.

3. LIABILITY RELEASE

I RELEASE, WAIVE, AND DISCHARGE ANY AND ALL CLAIMS that I, for myself, and on behalf of my child, and our heirs, assigns, personal representatives, and next of kin, may have now or in the future against Phoenix Sports, Inc., Douglas Goldfein, and their officers, directors, employees, contractors, subcontractors, sponsors, suppliers, representatives, agents, affiliates, insurers, successors and assigns; other participants, teams, sponsors, and advertisers of the Activities; and, if applicable, owners and lessors of the premises, fields, and facilities used by Phoenix Sports, Inc. ("Releasees") for any liability, expenses (including attorneys' fees), loss or damage to person or property, injury, death, or disability suffered from or in connection with participation in the Activities due to any cause whatsoever, INCLUDING THE NEGLIGENCE ON THE PART OF THE RELEASEES.

I HEREBY AGREE NOT TO SUE OR MAKE CLAIMS AGAINST THE RELEASEES AND GIVE UP ANY AND ALL OF MY RIGHTS TO DO SO.

4. INDEMNIFICATION

I, for myself, and on behalf of my child, and our heirs, assigns, personal representatives, and next of kin, HEREBY INDEMNIFY, DEFEND AND HOLD HARMLESS the Releasees, with respect to any liability, expenses (including attorneys' fees), loss or damage to person or property, injury, death, or disability associated in connection with participation in the Activities, WHETHER ARISING FROM THE NEGLIGENCE OF THE RELEASEES OR OTHERWISE, to the fullest extent permitted by applicable law.

5. PARENT CODE OF CONDUCT

Parents and participants must conduct themselves in a respectable manner. I hereby pledge to live up to this agreement as a Parent/Guardian by:

1. Placing the emotional and physical well-being of my child ahead of a personal desire to win.
2. Respecting all persons involved in this program, remembering that I am a model for all youth.
3. Leading by example and respecting all parents, players, coaches, and officials by speaking words of positive encouragement and practicing basic self-control.
4. Informing coaches or league representatives of disagreements only before or after games/practices, and in private.
5. Creating an alcohol, tobacco, and drug-free environment during practices and games.
6. Understanding that any highly disruptive behavior is grounds for removal from the program.

6. GOVERNING LAW & SEVERABILITY

This Agreement and any disputes arising out of or related to my involvement in the Activities shall be governed by, construed, and enforced in accordance with the laws of the State of California, without regard to conflict of law principles. Jurisdiction and venue for any disputes shall be exclusively in the courts of San Diego County, California. If any provision of this Agreement is rendered invalid by a court of competent jurisdiction, the remaining parts or portions of this Agreement shall remain in full force and effect.

7. ACKNOWLEDGEMENT AND ELECTRONIC SIGNATURE

I AM THE PARENT OR LEGAL GUARDIAN OF THE ABOVE-NAMED PARTICIPANT AND I HAVE CAREFULLY READ AND VOLUNTARILY SIGN THIS AGREEMENT. I UNDERSTAND THAT I AM WAIVING SUBSTANTIAL RIGHTS BY AGREEING TO THIS FORM, INCLUDING THE RIGHT TO FILE A LEGAL ACTION FOR PERSONAL INJURY OR DEATH.

I ACKNOWLEDGE THAT BY TOGGLING "YES" OR CHECKING THE ACCEPTANCE BOX DURING ACCOUNT COMPLETION AND CHECKOUT, I AM PROVIDING MY ELECTRONIC SIGNATURE AND AGREEING TO BE BOUND BY THESE TERMS TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
